Terms of Service
Terms governing business access to and use of the ToTheCent software service.

1. Agreement and parties
These Terms of Service govern access to and use of ToTheCent, a software analytics service provided by Headframe Sp. z o.o., ul. Stanisława Leszczyńskiego 4/77, 50-078 Wrocław, Poland, entered in the register of entrepreneurs of the National Court Register under KRS 0001227801 and identified by NIP 8971969073 (“Headframe”, “we”, or “us”). “Customer” and “you” mean the business or organisation using the service.
By creating an account or using ToTheCent, you accept these Terms. If you act for an organisation, you confirm that you have authority to bind it. The service is offered for business use and is not directed to consumers acting outside a trade, profession, or business.
2. The service
ToTheCent analyses AI usage, pricing, cost telemetry, and provider billing records. It supports cost reconciliation, allocation, reporting, and the identification of operational waste. Outputs depend on the completeness and accuracy of data supplied by the Customer and third-party providers. Customers must review outputs before making operational or purchasing decisions.
ToTheCent is not a payment processor, money services business, accounting practice, investment service, or financial adviser. It does not hold, receive, transmit, or move customer funds, and its outputs are not accounting, tax, legal, investment, or financial advice.
3. Data and Zero-Data operation
The service processes usage and cost telemetry including token counts, model identifiers, prices, timestamps, hashes, provider usage records, and business metadata. It does not ingest or store prompt or completion content. Personal data is limited to account data such as name, business email address, and billing identifiers. Customer usage and cost telemetry is processed and stored in EU-resident application infrastructure.
Customers retain their rights in data they submit and grant Headframe the limited right to process that data solely to provide, secure, support, and improve the service. Customers must have the necessary rights to submit their data and must not upload credentials, prompt content, unlawful material, or unnecessary personal data. A Data Processing Agreement is available on request.
4. Accounts and acceptable use
You must provide accurate account information, protect credentials, and promptly report suspected unauthorised access. You are responsible for activity performed through your account. You must not interfere with the service, bypass access controls, introduce malicious code, reverse engineer the service except where applicable law expressly permits it, resell access without written permission, or use ToTheCent in violation of law or third-party rights.
5. Purchases and Paddle's role
Paddle acts as Merchant of Record and is the contracting seller to the Customer for purchases of ToTheCent. Paddle conducts checkout, receives and processes payment, issues invoices and receipts, calculates and remits applicable taxes, and handles transaction-related matters under Paddle's buyer terms. Headframe does not invoice the Customer for a purchase made through Paddle and does not receive or hold customer payment funds.
Paddle's buyer terms govern the purchase transaction, payment, invoicing, and tax. These Headframe Terms govern access to and use of the ToTheCent software. If these Terms conflict with Paddle's buyer terms on a matter concerning the purchase transaction, Paddle's buyer terms control that transaction.
6. Subscription, cancellation, and refunds
Subscriptions are sold in US dollars at the list price for the applicable monitored-spend band and renew for successive billing periods until cancelled. Cancellation may be requested through Paddle's subscription management flow and takes effect at the end of the current paid billing period. Access continues until that period ends.
A Customer may request a refund within 14 days after purchase of its first subscription period. No pro-rata refund is offered for an unused part of a billing period after that first-period window. Refund handling remains subject to Paddle's buyer terms and transaction process. The detailed policy appears on the Refund and Cancellation Policy.
7. Licence and intellectual property
While a subscription is active and applicable fees are paid, Headframe grants the Customer a limited, non-exclusive, non-transferable, non-sublicensable right to access and use ToTheCent for its internal business purposes. Headframe and its licensors retain all rights in the software, documentation, designs, and methodologies. No ownership transfers under these Terms.
8. Availability and changes
The service is provided on a best-effort, “as is” and “as available” basis. There is no service-level agreement and no uptime guarantee. Scheduled or emergency maintenance may occur without prior notice. We may change or discontinue features where reasonably necessary for security, provider compatibility, legal compliance, or product development.
9. Disclaimers and liability
To the maximum extent permitted by law, Headframe disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. Headframe does not guarantee a particular reconciliation, cost-saving, business, or financial outcome.
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive loss, or loss of profit, revenue, goodwill, or data. Headframe's aggregate liability arising from the service is limited to fees paid for the service during the twelve months before the event giving rise to the claim. Nothing excludes liability that applicable law does not permit a party to exclude.
10. Suspension and termination
Headframe may suspend access where reasonably necessary to protect the service, comply with law, address non-payment, or respond to a material breach. Where practicable, we will give notice and an opportunity to cure. On termination, the right to use the service ends, while provisions that by their nature should survive remain effective.
11. Governing law and jurisdiction
These Terms are governed by Polish law, excluding its conflict-of-laws rules. Courts competent for the registered seat of Headframe Sp. z o.o. in Wrocław have jurisdiction over disputes, subject to mandatory law. Before starting proceedings, the parties should attempt in good faith to resolve a dispute through written communication.
12. Contact and changes
Questions about these Terms may be sent to contact@tothecent.ai. We may update these Terms by publishing a revised version with a new effective date and, for material changes, providing reasonable notice. If a provision is unenforceable, the remaining provisions continue in effect.
